14 October 2021

CET 17.27 Rome, 14 October 2021 – Atlantia SpA announces that today’s meeting of the Company’s
Board of Directors, chaired by Fabio Cerchiai, has approved the cessation of the Company’s management and coordination of its operating subsidiaries, Autostrade per l’Italia SpA (“ASPI”), Aeroporti di Roma SpA (“ADR”), Telepass SpA (“Telepass”) and Spea Engineering SpA (“SPEA”).

The decision was taken following the overall restructuring of Atlantia’s organisation, processes and management that has led the Company to focus on the core activities of portfolio management, strategy, risk, talent, partnership, innovation and sustainability. The change also follows the redefinition of the relations with operating subsidiaries in line with their full operational independence.

Atlantia will focus on its role of investment holding company, with the aim of creating value for all its shareholders and stakeholders through effective and efficient management of its asset portfolio, facilitating synergies and supporting subsidiaries on their growth strategies.

Atlantia will inform ASPI, ADR, Telepass and SPEA of the decision so that they can acknowledge the resolution and comply with the related disclosure requirements.
