Whistleblowing

In line with the Group's organizational and governance changes, Atlantia introduced a new Whistleblowing management process, innovating the previous one with the following new elements:
  • decentralization of the management of Whistleblowing reports in each Group company, through the establishment of special multidisciplinary Whistleblowing Teams
  • attribution to the Internal Audit function of the role of process owner to the benefit of the timeliness of the analysis and integration of all aspects relating to the Internal Control and Risk Management System (SCIGR), also in line with the mission and the characteristics of the role of the function itself
  • the provision of information flows with the other players in the SCIGR
In order to guarantee broad and indiscriminate access to all those who wish to make a report concerning Atlantia, a number of alternative channels are made available, specifically:
  • a computer platform accessible by all Whistleblowers (Employees, Third Parties, etc.) by clicking on the link below ("insert your report here"). The system allows the submission of reports through a guided online path without the obligation to register or declare one's personal details
  • electronic mail, to the email address: segnalazioni.atlantia@atlantia.com
  • ordinary mail, to the address: Atlantia S.p.A., Comitato Segnalazioni di Atlantia, via Antonio Nibby, 20 - 00161 Rome

Although anonymous reports are accepted at Atlantia, named reports are preferred for the benefit of the speed and effectiveness of investigations, as well as for the purposes of any need for appropriate dialogue with the Whistleblower.
Atlantia guarantees the confidentiality of the existence and content of the report, as well as the identity of the Whistleblowers (where disclosed) and Reported Parties. Moreover, the whistleblowers shall be protected in accordance with the law.
For all those who wish to make a report concerning other companies in the Group, specific channels are available on their respective websites.

Atlantia's Whistleblowing Committee carries out the following main tasks:
  • it is responsible for the process of managing reports, assessing the adequacy, and suggesting to the Board of Directors any improvements to the process, promoting the necessary information and training actions aimed at the company's population
  • supervises compliance with the Code of Ethics, examining reports of possible violations of the same and promoting the checks deemed necessary and, where necessary, the consequent improvement actions, monitoring their effective implementation
  • disseminates and verifies awareness of the Code of Ethics, promoting communication programs and activities aimed at increasing understanding of the Code
  • proposes the issuance of guidelines and operating procedures or additions and amendments to existing ones, aimed at reducing the risk of violations of the Code

The Reporting Committee is coordinated by the Head of the Internal Audit Department.

Dedicated Reporting Teams have been set up in the Atlantia Group's main operating companies to reduce the distance between the body carrying out the investigation and the subject of the report and to ensure immediate access by the companies' Internal Audit functions to the reports in question, thus achieving greater timeliness and effectiveness.

Atlantia's Whistleblowing Committee may also reserve the right to handle whistleblowing where it deems that they have a significant impact (e.g. reputational and/or economic/financial damage) on the Atlantia Group (including the holding company) or on other Group companies. Moreover, it cannot be excluded that such significant impacts for the Atlantia Group may also refer to reports received from subsidiaries.
